Registration of Foreign Corporation/Registered Agent Request

In order to do business within the State of Mississippi, out of state corporations, referred to as "foreign corporations" or "foreign limited liability companies" in our statutes, must register to do business and appoint a registered agent.

In order to register to do business, your company will need to fill out either Form F0002 - Application for Certificate of Authority for a corporation or Form F0200 - Application for Registration of Foreign Limited Liability Company and pay a filing fee to the Mississippi Secretary of State. The filing fee for corporations is $500.00 and is $250.00 for LLCs. Along with the form, you must provide a Certificate of Good Standing from the Secretary of State (or other entity that handles incorporation of businesses) in the state in which you are incorporated. Forms F0002 and F0200 request the following information which must be provided according to Miss. Code Ann ' 79-4-15.03:

  1. The name of the foreign corporation or, if its name is unavailable for use in this state, a corporate name that satisfies the requirements of Section 79-4-15.06;
  2. The name of the state or country under whose law it is incorporated;
  3. Its date of incorporation and period of duration;
  4. The street address of its principal office;
  5. The address of its registered office in this state and the name of its registered agent at that office; and
  6. The names and usual business addresses of its current directors and officers.

In addition, you must complete either Form F0009 - Application for Appointment of Registered Agent or Form F0120 - Application for Appointment of Registered Agent for Foreign LLC and pay a $25.00 filing fee. As your registered agent, our Firm will be required to sign this form as well. After our Firm has signed Form F0120 and our office has received your Application for Registration and Certificate of Good Standing, we will send those forms along with the filings fees payable to the Mississippi Secretary of State.

Our law firm charges a flat fee of $150.00 for this service and $25.00 per year to serve as your company's registered agent for each subsequent year. Each year in return, we will send you correspondence reminding you or your duty to file annual reports if this applies to your situation and requesting that you provide our office with the appropriate contact whom we will need to notify in the unfortunate event your company is served with a lawsuit or other legal document in Mississippi. This is crucial to ensure your company is responsive to any litigation. Any additional services that our Firm may provide your company which may relate to beginning to operate in your particular industry within the State of Mississippi and which is not related to reviewing and filing the documents listed above will be charged at our law firm's typical hourly rates.
